1. Who we are and acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of trafik.plus, our Shopify Theme Store listings, and any theme, digital product, or design/development service supplied by:

Trafik Plus LTD, a company registered in England and Wales, company number 15198434, registered office at 24-26 Arcadia Avenue, Fin009, London, N3 2JU, England ("Trafik Plus", "we", "us", "our").

By purchasing a product, engaging our services, or using our website, you ("you", "Client", "Customer") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you confirm you have authority to bind that company, and "you" refers to that company.

If you do not agree to these Terms, do not use our website, products, or services.

2. Definitions

  • "Products" means Shopify themes and other digital products we make available for licence, whether via trafik.plus or the Shopify Theme Store.
  • "Services" means custom design, development, customisation, migration, or support services we agree to provide, typically under a separate quote, statement of work, or order confirmation ("Order").
  • "Deliverables" means the specific output (code, designs, configuration) we agree to provide under an Order.
  • "Client Materials" means any content, credentials, brand assets, or store access you provide to us.

3. Eligibility

Our Products and Services are intended for use by businesses and individuals operating, or intending to operate, an online store (typically on Shopify). You must be at least 18 and have the legal capacity to enter a binding contract. Nothing in these Terms removes any statutory right you have as a consumer under UK law where you are purchasing in a personal, non-business capacity (see section 12).

4. Products (Shopify themes and digital products)

4.1 Licence, not sale

Products are licensed, not sold. Purchasing a Product grants you a non-exclusive, non-transferable licence to install and use it on a single live Shopify store per purchase, subject to any additional terms set by the Shopify Theme Store where purchased through that channel.

4.2 What the licence does not include

Unless expressly agreed, the licence does not permit you to resell, sublicense, redistribute, or use the Product as the basis for a competing theme or product offered to third parties.

4.3 Digital content and cancellation

Because Products are digital content delivered immediately on purchase, you acknowledge that once download/installation begins with your explicit consent, your statutory right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 is lost, to the extent that right would otherwise apply.

5. Services (custom design and development)

5.1 Scope

Services are supplied under an Order which sets out scope, Deliverables, timeline, and fees. These Terms apply to every Order unless the Order expressly states otherwise.

5.2 Client cooperation

Timely delivery depends on you providing Client Materials, feedback, and approvals when requested. Delays caused by you may extend agreed timelines and, where relevant, fees.

5.3 Access to your store

Where Services require access to your live Shopify store or connected systems, you grant us the access necessary to perform the Services. We will only use that access for the agreed purpose and handle any personal data within it as described in our Privacy Policy and any applicable data processing agreement.

5.4 Acceptance

6. Fees, payment, and refunds

  • Prices are as stated at the time of order, in [INSERT currency, e.g. GBP/USD], and are exclusive of applicable taxes unless stated otherwise.
  • [INSERT payment terms: e.g. Products are paid in full at purchase; Services are invoiced per milestone / deposit + balance / monthly.]
  • [INSERT refund policy: e.g. Products — refunds available within X days if not yet substantially used, subject to Shopify Theme Store policy where purchased there. Services — deposits are non-refundable once work has commenced, except as required by law.]
  • Late payment on Services may result in suspension of work and/or interest charged under the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.

7. Intellectual property

7.1 Our IP

All Products, our website, and our pre-existing tools, frameworks, and code libraries remain the intellectual property of Trafik Plus (or our licensors), whether or not used in Deliverables.

7.2 Deliverables from Services

  • Option A — Client owns custom Deliverables: On full payment, ownership of custom-built Deliverables (excluding our pre-existing tools/frameworks embedded in them, which remain licensed to you for use with the Deliverables) transfers to the Client.
  • Option B — Trafik Plus retains ownership, Client gets a licence: Deliverables remain our property; the Client receives a perpetual, non-exclusive licence to use them for their own store.

7.3 Client Materials

You retain ownership of Client Materials (brand assets, content, data) and grant us a licence to use them solely to perform the Services or deliver the Product.

8. Confidentiality

Each party will keep the other's non-public business, technical, and pricing information confidential, and use it only to perform its obligations under these Terms, except where disclosure is required by law.

9. Third-party platforms

Our Products and some Services operate on or integrate with third-party platforms, including Shopify. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, changes, or policies. Where a Product is purchased via the Shopify Theme Store, the Shopify Theme Store terms and refund policy apply in addition to these Terms.

10. Warranties

10.1 By us

We warrant that Services will be performed with reasonable skill and care, and that Products will materially conform to their published description at the time of delivery.

10.2 Disclaimer

Except as set out in these Terms, Products and Services are provided "as is." We do not warrant that Products or Deliverables will be error-free, uninterrupted, or compatible with every third-party app, theme, or configuration you may use.

11. Limitation of liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under English law.

Subject to the above, our total liability arising out of or in connection with these Terms, whether in contract, tort, or otherwise, is limited to [INSERT: e.g. the amount you paid for the relevant Product or Order in the 12 months preceding the claim].

We are not liable for indirect or consequential loss, including loss of profits, revenue, or data, arising from use of our Products or Services.

12. Consumer rights

If you are a consumer (buying in a personal capacity rather than for your business), nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable UK consumer protection law, and nothing in section 11 limits liability beyond what the law permits for consumer contracts.

13. Term, suspension, and termination

  • These Terms apply for as long as you use our Products or Services.
  • We may suspend or terminate access if you breach these Terms, misuse a Product's licence, or fail to pay fees when due, subject to [INSERT notice period, e.g. 14 days' written notice to remedy, where the breach is remediable].
  • Either party may terminate an Order for Services on [INSERT notice period] written notice; fees for work performed up to termination remain payable.

14. Force majeure

Neither party is liable for delay or failure to perform caused by events outside its reasonable control, including outages of third-party platforms such as Shopify.

15. General provisions

  • Entire agreement: These Terms, together with any Order, are the entire agreement between you and Trafik Plus regarding the subject matter, superseding prior discussions.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • No partnership: Nothing in these Terms creates a partnership, joint venture, or agency relationship between the parties.
  • Notices: Legal notices should be sent to the addresses in section 1 and 16.

16. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms, except that consumers resident elsewhere in the UK may also bring proceedings in their own local courts where mandatory law so requires.

17. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Material changes affecting active Orders will be notified to affected clients directly; continued use of our Products or Services after changes take effect constitutes acceptance.
